EarnedMatch

EarnedMatch Platform Terms for Program Partners

Version 1.1 · Published 2026-11-01 · Effective 2026-11-01

1. EarnedMatch is software only. We provide no services.

1.1 Parties. These terms are between API Technologies, Inc. ("EarnedMatch", "we", "us") and the company accepting them ("Partner", "you"). The person who accepts confirms they have authority to bind the Partner.

1.2 What we provide. EarnedMatch is a software platform. It includes a web console, an installer mobile app, job-routing and matching tools, messaging and notifications, and access to a directory of independent installers (the "Platform"). That is all we provide.

1.3 What we do not provide. We do not provide, perform, supervise, direct, inspect, guarantee or warrant any installation, assembly, delivery or other work (the "Services"). We are not a contractor, subcontractor, installer, staffing agency, broker of labor, employer or insurer.

1.4 Who provides the Services. Every Service is provided by an independent installer under a contract between that installer and you. The Platform only helps you find, offer work to, schedule, communicate with and pay installers you choose to engage.

1.5 Your customers are yours. Every customer relationship belongs to you. Your customers contract with you, not with us. You set your prices, and you alone answer to your customers.

1.6 Nothing we say or show changes this. Our websites, marketing, help articles, ratings, scores, badges, matching results or recommendations do not make us a provider of the Services and create no warranty, duty or liability, whatever words they use, including "vetted", "top", "elite" or "our network".

2. Installers are independent of us

2.1 No relationship with us. Installers are independent businesses. They are not our employees, agents, contractors or representatives, and we do not control how, when or whether they work. Nothing in these terms creates a partnership, joint venture, franchise, agency or employment relationship between us and you, or between us and any installer.

2.2 Your contract with each installer. Before an installer does any work for you, you and that installer enter your own contract, either the template we make available (adopted in your own name) or your own form. You are responsible for its terms, its enforcement, and how that installer is classified under employment, tax and labor law.

2.3 The installer directory carries no warranty. We do not warrant or represent any installer's identity, licensing, permits, insurance, bonding, background, criminal record, immigration status, skill, quality, safety, reliability, availability or compliance with any law. Any check, score, rating, badge or label we show is for convenience only. You may not rely on it, and it is not a verification.

2.4 Your decision, your risk. You alone decide whether to engage an installer, including installers matched by the Platform's automatic matching under the settings you choose. You are responsible for your own checks of licensing, insurance and suitability before each engagement.

2.5 Installer pay is yours to pay. You pay installers from your own account and in your own name. We are not a party to that payment and are not liable for any amount owed to an installer.

3. You are responsible for your program

You are solely responsible, at your own cost, for everything about the Services and your program, including: your customers (offer, prices, sales, contracts, taxes, receipts, refunds, cancellations and communications); guarantees and claims (any guarantee or warranty you offer, and every complaint, claim, repair, return or chargeback); the work (quality, safety, scheduling, permits, site conditions, property damage, injury and clean-up); installers (engaging them, your contract with them, their pay and tax reporting, and their classification); licences and insurance needed where the work is done, held by you and every installer you use; compliance with all laws that apply to you, your program, your customers and your installers, including consumer protection, home-improvement, contractor-licensing, advertising, privacy, anti-spam and anti-discrimination law; and everything done under your account. You must not describe EarnedMatch, API Technologies, Inc. or HandyBuddy to your customers or installers as the provider, guarantor or insurer of the Services.

4. Fees and billing

Your fees are for use of the Platform only, never for the Services. All amounts are in US dollars. Set-up (one time): Regional $1,500, National $4,000, Enterprise $10,000, paid in set-up before your first job. Plan (monthly): Regional $299, National $799, Enterprise $1,999, on the first weekly invoice of each month. Per completed job, as a share of the installer pay for that job: on Regional and National, 5% when one of your own installers does it ($2 minimum) or 9.5% when an installer from HandyBuddy's network does it ($5 minimum); on Enterprise, 3% ($2 minimum) or 7.5% ($5 minimum). Each extra brand: $299 a month plus $1,000 set-up.

4.1 Weekly invoice. Each Monday we invoice the week before. Auto-pay takes it on the Thursday after. Dispute a line before that Thursday and we hold it while we look. 4.2 Late payment. If an invoice is still unpaid 7 days after its auto-pay date, new jobs are paused until it is paid; jobs already under way are not affected. 4.3 Changing plans. You can move up at any time; a move up starts at once, the rest of that month is prorated, and the difference in set-up fees is charged on your next invoice. A move down starts on the 1st of the next month. 4.4 No refunds. Fees already paid, including set-up fees and the current month's plan, are not refundable, except where the law requires it. 4.5 Changes to fees. We may change fees with 30 days' written notice, from your next billing period after the notice ends. 4.6 Taxes. Fees exclude taxes; you pay any sales, use or similar tax on them.

5. No warranties, and limits on our liability

5.1 As is. The Platform is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation. We make no warranty of any kind about any Service or any installer.

5.2 You assume the risk. You accept all risk arising from the Services, from your customers, and from installers you engage, including any installer matched through the Platform.

5.3 No liability for the Services. We are not liable for any loss, damage, injury, death, claim or cost arising from or related to the Services, or from any act, omission, statement or conduct of any installer or customer, including property damage, personal injury, defective work, delay, no-shows, theft and wage, classification or tax claims.

5.4 No indirect loss. We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any lost profits, revenue, customers, goodwill or data, even if told they were possible.

5.5 Cap. Our total liability for all claims of any kind related to these terms or the Platform will not exceed the Platform fees you paid us in the 3 months before the event giving rise to the claim.

5.6 Why. These limits are an essential basis of the bargain, are reflected in our fees, apply even if a remedy fails of its essential purpose, and apply to the fullest extent the law allows.

6. You protect us, and you carry insurance

6.1 Indemnity. You will defend, indemnify and hold harmless API Technologies, Inc., its affiliates (including HandyBuddy and Expert Marketplace), and their owners, officers, employees and agents from any claim, demand, suit, loss, damage, judgment, settlement, fine, penalty, cost or expense, including reasonable attorneys' fees, arising from or related to the Services or your program; any installer you engage, including their acts, omissions, pay, taxes or classification; any customer of yours; your breach of these terms or of any law; or anything you or your users submit through the Platform.

6.2 Defence. We may join the defence with counsel of our choice at our own cost. You may not settle any claim that admits fault for us, or binds us, without our written consent.

6.3 Your insurance. While you use the Platform, and for 2 years after, you will keep with reputable insurers commercial general liability of at least $1,000,000 per occurrence and $2,000,000 aggregate, and any workers' compensation and other insurance the law requires of you. You will name API Technologies, Inc. as an additional insured on the general liability policy and give us a certificate of insurance when we ask.

6.4 Installer insurance. You are responsible for requiring and checking any insurance you want installers to carry. We do not verify it for you.

7. Data, accounts, ending, disputes and acceptance

7.1 Your data. Customer and job data you enter is yours. We process it only to run the Platform for you, to bill you, to keep it secure, and as the law requires. You confirm you have the right and any consents needed to give it to us and to message your customers through the Platform.

7.2 Accounts and use. Keep your passwords safe and your users' details current. You must not misuse the Platform, copy or reverse-engineer it, overload it, or use it to break any law or anyone's rights. We may suspend access to protect the Platform, other users or the public.

7.3 Ending. Either of us may end these terms with 30 days' written notice. We may end or suspend them at once if you breach them or don't pay. On ending, fees owed become due, and you lose access after a 30-day window to export your data. Sections 2 to 7 survive.

7.4 Changes to these terms. Each version of these terms carries a version number and an effective date at the top. We may publish a new version. We will show you its number, effective date and what changed, and you must accept it before your next job after that date. The version you accepted governs until you accept a newer one. We keep a record of every version and of each acceptance.

7.5 Disputes. These terms are governed by the laws of California, without regard to conflict-of-law rules. Any dispute will be resolved by binding arbitration on an individual basis in California under the commercial rules of the American Arbitration Association, except that either of us may seek an injunction in court to protect intellectual property or confidential information. You waive any right to a jury trial or to bring or join a class or representative action.

7.6 General. These terms are the whole agreement about the Platform and replace anything said before. If a part is unenforceable, the rest stands, and that part is enforced as far as the law allows. You may not assign these terms without our consent; we may assign them with our business. Notices to us go to partnerwithus@handybuddy.com. A failure to enforce a right is not a waiver.

7.7 Acceptance. By checking the box, typing your name and title, and saving, you confirm you have read these terms, you have authority to bind the Partner, and the Partner agrees that EarnedMatch provides software only, provides no Services, and is not liable for the Services or any installer.
